This Agreement is entered into between you and Halan Borsa, a licensed Egyptian brokerage regulated by Egypt's Financial Regulatory Authority (FRA) and a member of the Egyptian Exchange (EGX) ("Halan Borsa," "we," or "us"). It governs your access to and use of the Halan Borsa mobile application, website, and the brokerage and market-data services made available through them (together, the "Services").

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SERVICES. By registering for a User Account, or by accessing or using the Services, you agree to be bound by these Terms, which form a binding agreement between you and Halan Borsa. If you do not agree, you must not access or use the Services. This Agreement supersedes any prior agreements or arrangements between you and Halan Borsa regarding the Services. Our collection and use of your information is governed separately by our Privacy Policy.

Section 1Definitions

Section 2The services

Halan Borsa provides a mobile application and website through which you can open and fund a brokerage account, view Market Data, place Orders to buy or sell securities, mutual funds, and other supported asset classes, and track your portfolio.

Halan Borsa acts as your licensed broker: Orders you submit through the Platform are transmitted for execution on the Egyptian Exchange in accordance with your brokerage customer agreement, applicable EGX rules, and FRA regulations. Halan Borsa does not guarantee that an Order will be accepted, filled, or filled at any particular price, and execution is subject to prevailing market conditions.

Section 3No investment advice

Halan Borsa is not acting, and will not act, as your investment advisor. Market Data, research, news, and any educational content made available through the Services are provided for informational purposes only and do not constitute a recommendation or solicitation to buy or sell any security. You make your own investment decisions independently and at your own risk, and any decision to buy or sell is made by you alone.

Halan Borsa does not guarantee the accuracy, completeness, or timeliness of any Market Data, research, or third-party information made available through the Services, and is not liable for decisions made in reliance on it.

Section 4Eligibility and account opening

To use the Services, you must register for a User Account and complete Halan Borsa's know-your-customer (KYC) and anti-money-laundering (AML) checks, which may require your name, national ID or passport number, address, mobile number, employment information, source of funds, and a valid payment method. Halan Borsa may decline to open, or may close, an account at its discretion, including where required by applicable law or regulation.

You represent that you are the original and sole beneficiary of your account, and that all funds you invest are from legitimate sources.

Section 5Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your User Account. You agree to notify Halan Borsa immediately of any unauthorized use or suspected breach of security. Halan Borsa is not liable for any loss arising from your failure to keep your credentials secure. Unless Halan Borsa agrees otherwise in writing, you may hold only one User Account.

Section 6Placing and executing orders

You may submit Orders through the Platform specifying the security, quantity, price, and any applicable order conditions. Once submitted, an Order is a binding instruction, subject to your ability to cancel or amend it before execution in accordance with the Platform's functionality and EGX trading rules.

Halan Borsa may set limits or controls on Order size, pricing, or frequency at its discretion, including to manage risk or to comply with applicable regulations. Such controls may be added, changed, or removed at any time.

Upon execution, you will receive confirmation and, where applicable, an invoice or account statement reflecting the transaction. This confirmation constitutes your record of the transaction and evidence of your knowledge of, and consent to, the resulting activity on your account.

Section 7Fees and charges

Use of the Services is subject to brokerage commissions, exchange and clearing fees, settlement charges, applicable taxes, and any market data subscription fees, as disclosed in the Platform and your account opening agreement (together, "Charges"). Charges may include amounts due before a service is rendered (such as subscriptions) and amounts due after (such as trading commissions).

Halan Borsa may collect Charges directly from your account balance or linked payment method. Charges are generally final and non-refundable once a service has been rendered. Halan Borsa may revise its fee schedule from time to time, with notice posted on the Platform.

Section 8Funding and withdrawals

You may fund your account using the payment methods supported on the Platform. Deposits and withdrawals may take time to process and settle, and may be subject to daily or per-transaction limits, verification checks, or delays caused by banks, payment processors, or national holidays, none of which are within Halan Borsa's control. You are responsible for ensuring your payment details are accurate and up to date.

Section 9User conduct and restrictions

You agree not to:

• Provide false, inaccurate, or misleading information when opening or maintaining your account.
• Use the Services for any unlawful purpose, including market manipulation, money laundering, or fraud.
• Attempt to gain unauthorized access to the Services, other users' accounts, or Halan Borsa's systems.
• Upload or transmit viruses, malware, or any code intended to disrupt the Services.
• Reverse engineer, decompile, or attempt to extract the source code of the Platform.
• Use automated scripts, bots, or scraping tools against the Services without Halan Borsa's written permission.

Violation of this section may result in suspension or termination of your account, in addition to any other remedy available to Halan Borsa under applicable law.

Section 10Intellectual property

The Platform, and all content, trademarks, logos, and software within it, are the property of Halan Borsa or its licensors. Subject to these Terms, Halan Borsa grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the App on your own device, and to use the website, solely for your personal, non-commercial use. You may not sell, license, rent, distribute, or otherwise commercially exploit the Services, or remove any proprietary notices from them.

Section 11User-provided content

If Halan Borsa allows you to submit reviews, feedback, or other content through the Services, you retain ownership of that content but grant Halan Borsa a worldwide, royalty-free license to use, reproduce, and display it in connection with operating and improving the Services. You agree not to submit content that is defamatory, unlawful, or otherwise objectionable, and Halan Borsa may remove such content and take action against your account at its discretion.

Section 12Taxes

You are solely responsible for any taxes applicable to your investments and transactions on the Platform. Where required by law, Halan Borsa may withhold or remit taxes on your behalf, but this does not relieve you of your own tax obligations.

Section 13Record keeping

Halan Borsa keeps records of your account activity, transactions, and communications for administrative, regulatory, and audit purposes, in accordance with applicable Egyptian data protection and brokerage record-keeping laws. See the Privacy Policy for further detail.

Section 14Suspension and termination

Halan Borsa may suspend or terminate your access to the Services, or close your account, at any time and for any reason, including a breach of these Terms, suspected fraud, or where required by law or regulation, with or without prior notice. You may close your account at any time by following the account closure process in the Platform, subject to settlement of any open positions and outstanding Charges.

Section 15Availability and changes to the services

Halan Borsa may modify, suspend, or discontinue the Services, or any feature of them, at any time, including for maintenance or regulatory reasons. Halan Borsa is not liable for any modification, suspension, or discontinuance of the Services.

Section 16Communications

By creating a User Account, you consent to receive account notifications, trade confirmations, statements, and service communications from Halan Borsa via the app, SMS, email, or phone, using the contact details you provide. Notices sent to your registered contact details are binding on you and are treated as evidence of your knowledge and acceptance of their content, unless you object promptly.

Section 17No agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Halan Borsa beyond the brokerage relationship established by opening a User Account.

Section 18Indemnity

You agree to defend, indemnify, and hold Halan Borsa, its officers, employees, and agents harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, or your violation of applicable law, except to the extent such claim or loss arises from Halan Borsa's own negligence or breach of these Terms.

Section 19Legal compliance

You agree to comply with all applicable laws and regulations, including FRA and EGX rules, in connection with your use of the Services.

Section 20Changes to these terms

Halan Borsa may amend these Terms from time to time. We will notify you of material changes through the app, by email, or by updating the "Last updated" date above. Your continued use of the Services after such notice constitutes your acceptance of the amended Terms. Supplemental terms may apply to specific features or promotions and will prevail over these Terms in the event of a conflict as to that feature.

Section 21Security

Halan Borsa maintains physical, electronic, and procedural safeguards designed to protect your account and personal data, including role-based access controls, multi-factor authentication, and regular security reviews. While we work to keep the Services secure, we cannot guarantee they will be free from interruption or unauthorized access, particularly where this results from factors outside Halan Borsa's reasonable control.

Section 22Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." HALAN BORSA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HALAN BORSA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY MARKET DATA WILL BE ACCURATE OR COMPLETE. YOU ASSUME THE ENTIRE RISK ARISING FROM YOUR USE OF THE SERVICES, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Section 23Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE EGYPTIAN LAW, HALAN BORSA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING LOST PROFITS OR TRADING LOSSES, EVEN IF HALAN BORSA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits any liability that cannot lawfully be limited, or affects rights you have under FRA regulations or your brokerage customer agreement. Some obligations imposed on Halan Borsa by mandatory Egyptian law cannot be excluded and are not affected by this section.

Section 24Entire agreement and severability

These Terms, together with the Privacy Policy and any supplemental terms applicable to specific features, constitute the entire agreement between you and Halan Borsa regarding the Services. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be deemed modified to the minimum extent necessary to make it enforceable.

Section 25Assignment

You may not assign or transfer your rights or obligations under these Terms without Halan Borsa's prior written consent. Halan Borsa may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets, in compliance with applicable law.

Section 26Governing law and dispute resolution

These Terms are governed by the laws of the Arab Republic of Egypt, including applicable Financial Regulatory Authority (FRA) and Egyptian Exchange (EGX) rules. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Egyptian courts.
